TERMS AND CONDITIONS OF USE

YOU MUST AGREE TO ALL OF THE TERMS AND CONDITIONS CONTAINED IN THIS AGREEMENT, INCLUDING, BUT NOT LIMITED TO AGREEING NOT TO USE THIS SITE FOR ANY UNLAWFUL PURPOSE AND BECOMING A USER, WHICH IN TURN PERMITS YOU TO ACCESS CERTAIN OF CEL'S CURRICULUM (THE "CURRICULUM") ON CEL'S WEBSITE. BY COMPLETING THE ENROLLMENT PROCESS, YOU AGREE TO THE TERMS OF THIS AGREEMENT, JUST AS IF YOU HAD SIGNED THIS AGREEMENT. IF YOU DO NOT WISH TO BE BOUND BY THIS AGREEMENT, PLEASE DO NOT COMPLETE THE ENROLLMENT PROCESS.

1. Changed Terms
   
   CEL may change or discontinue any aspect of its website at any time, including its content or features. CEL reserves the right to change the terms and conditions applicable to use of the Curriculum, as well as its Policies and Legal Notices. Such changes shall be effective immediately upon notice, which shall be placed on the website. Use of the Curriculum after notice shall be deemed to be acceptance by User of such changes.
    
2. Term
   
   CEL may terminate User's access at any time for any reason. The provisions regarding Disclaimer of Warranty, Accuracy of Information, Indemnification, and Third Party Rights shall survive.
    
3. Copyright and License of Curriculum
   
   User acknowledges and agrees that the Curriculum on this site is the property of CEL and is protected by copyrights, trademarks, service marks, patents, trade secrets, or other proprietary rights and laws. User acknowledges that access to the Curriculum is limited to the License terms set forth herein and any expansion must be in writing. The granting of the License to access and use the Curriculum is conditioned on User's agreement not to disclose, copy, disseminate, redistribute, or publish Curriculum, or any portion of or excerpts of Curriculum to any other party. In addition, use of the content or materials for any purpose not expressly permitted in these Terms of Use is prohibited.
   User shall have the right to use the Curriculum solely for its own internal information purposes. Reproduction of the Curriculum in any form or by any means is forbidden without CEL's written permission, including but not limited to:
   
   A. information storage and retrieval systems;
   B. recordings and retransmittals over any network (including any local area network);
   C. use in any timesharing, service bureau, bulletin board or similar arrangement or public display;
   D. posting any Curriculum to any other online service (including bulletin boards or the Internet); or
   E. sublicensing, leasing, selling, offering for sale or assigning the Curriculum.
   
   i. User agrees to maintain all copyright, trademark and other notices contained in such Curriculum.
   ii. User agrees that it shall not use CEL's name or any excerpts from the Curriculum in the promotion of its Curriculum or services.

   User agrees to indemnify, defend and hold harmless CEL, its affiliates, licensors, and their respective officers, directors, employees and agents from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, arising out of the use of the Curriculum by User or User's account.
    
9. General Provisions
   
   Any provision in any memorandum received by CEL in connection with the Curriculum which is inconsistent with, or adds to, the provisions of this Agreement is void. Neither the parties' course of conduct or trade practice will modify the terms of this Agreement. If any provision of this Agreement is determined by a court of competent jurisdiction to be invalid, all other terms and conditions shall remain in full force and effect.
    
10. Governing Law
    
    These Terms of Use shall be governed by and construed in accordance with the laws of the State of Missouri, excluding its conflicts of law rules. You expressly agree that the exclusive jurisdiction for any claim or action arising out of or relating to these Terms of Use or your use of this site shall be filed only in the state or federal courts located within the county of Jackson, Missouri, and you further agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action.
